I. MEMBER PLATFORM OVERVIEW

The QAIAx platform operates a dual-framework infrastructure consisting of a commercial (US-based) quantum AI cloud-robotics layer and an RDT&E clinical research layer. Program participants are required to maintain active trainee, member, or intern status with the sponsoring organization, which includes a standard and premium monthly platform membership subscription, or QAIAx ecosystem site called a (QAIAx) 'microcity' (a sponsored member-organization community where RDT&E is held). This commercial fee provides standard access to a peer-to-peer access to virtual and physical 'holo-suites' via omni-AI humanoid, quantum AI agent (generative AI human-like avatar as a holographic/audio/visual bot controlled via remote LLM command point) or QAIAx microcity administrative via a cloud server sandbox for independent learning machine studies and P2P tech support. This membership constraint serves strictly as an organizational prerequisite for ecosystem access and is completely decoupled from the clinical trial protocol. No fee is charged to subjects for participating in the clinical research arms, or for accessing the patented experimental interventions (AI-119 / AI Wat '1498' utility patent series). For eligible applicants qualifying as low-income or homeless ADA/SSDI, military veterans, personnel of a state/federal government agency, or enrolled student of an accredited post-secondary school, the physical Omni-AI Microcity housing arms, standard platform subscription fees may qualify for a fully/partially sponsored or waived by the authorized non-governmental organization (NGO) for the duration of the trial monitoring period and full member subscription that aligns with an affiliated health services program or educational learning track program to ensure zero financial cost to the research subject.

II. PLATFORM & EQUIPMENT LEGAL AUTHORITIES.

Brief Summary of Data Sharing, Export Compliance, and Intellectual Property Restraints (Pursuant to the U.S. and EU laws)

This Cooperative Agreement acknowledges that the use of AI humanoids for U.S. Government-funded RDT&E is tightly governed by overlapping U.S. export control, intellectual property, and national security laws, with specific restrictions that also inform compliance under analogous EU frameworks.

• Core Legal Shield - 28 U.S.C. § 1498 The Agreement explicitly invokes 28 U.S.C. § 1498, which channels any patent-infringement claim arising from Government-authorized use of AI humanoids exclusively to the U.S. Court of Federal Claims for monetary damages. This statutory shield protects both the Government and its contractors (including AI-119 Vulcan PRETCO) from injunctions or liability for using patented inventions with Government authorization or consent.
• Section 1260H Firewall - Chinese Military Company Restriction Because the AI humanoid hardware is sourced from Beijing Noetix Robotics, whose sponsors include CATL - an entity listed under Section 1260H of the NDAA FY2021 as a "Chinese military company" - the Agreement imposes a complete data and technical-access bar. Noetix and all 1260H sponsors are absolutely restricted from receiving, viewing, or accessing any proprietary AI model weights, source code, or U.S. provisional patent specifications.
• Export Control Classifications - ECCNs 3A090, 4A090, and 4E091 The technology is treated under the highest restrictive baseline of ECCNs 3A090 and 4A090 (advanced computing integrated circuits) and ECCN 4E091, which controls the "parameters" (model weights) of certain advanced closed-weight dual-use AI models. The Agreement mandates that all cloud hosting remain within the United States, and that no protected data or model weights be transmitted to servers in the People's Republic of China.
• License Exception AIA - Ineligibility for Chinese Entities The Agreement acknowledges that Noetix, being headquartered in China, is ineligible for License Exception AIA (Artificial Intelligence Authorization) under Supplement No. 5 to Part 740 of the EAR. Consequently, any cross-border data access or technology transfer to Noetix or its sponsors would require a separate export license, which the Agreement explicitly precludes by denying them access to the firewalled API.
• Intellectual Property Segregation - The Logical API Firewall All background intellectual property (including the pending USPTO provisional utility patent and all AI model weights) remains exclusively owned by PRETCO. A logical API firewall ensures that Noetix and its sponsors are strictly limited to receiving commercial off-the-shelf hardware components, with no access to source code, model weights, or system-level configurations. Access from international nodes is restricted to a firewalled API that transmits only structured inputs and non-sensitive telemetry.
• EAR Fundamental Research Exclusion - Not Applicable Because the technology is governed by a § 1498 federal framework and the Parties have agreed that the sponsor may withhold publication (see 15 C.F.R. § 734.8), the standard EAR Fundamental Research Exclusion does not apply. All manuscripts, abstracts, or code fragments must be pre-cleared by an internal Export Compliance Board before any public release.
• EU Law Consistency - AI Act & UNESCO Neuroethics The Agreement aligns with the EU AI Act by ensuring that any neurotechnology or biosignal-processing capabilities (e.g., "Quasi-Mind Ware" and "Attitude Inoculation") are classified as non-invasive wellness tools, not high-risk medical devices, and that the "Neural Exit" guarantee and hard-coded kill switches preserve user autonomy. It also respects the UNESCO Recommendation on the Ethics of Neurotechnology (2025) by mandating informed consent, transparency, and the protection of human dignity.
• Survival of Restraints All data-restriction, export-compliance, and intellectual-property-segregation covenants survive any termination of the Agreement, including the potential expiration of the U.S.-China Agreement on Cooperation in Science and Technology in August 2029, and remain independently enforceable under U.S. and international law.
